1. Agreement and Covered Brands

These Terms of Use and Sale (“Terms”) are a binding agreement between you and ORW USA INC, a California corporation doing business as 4 Wheel Parts and Off Road Warehouse (collectively, the “Company,” “we,” “us,” or “our”).

These Terms govern your access to and use of any Company website, mobile site, application, online storefront, account, communication channel, or other digital service that links to these Terms (collectively, the “Site”), together with purchases made through the Site.

References to 4 Wheel Parts, 4WP, Off Road Warehouse, or ORW identify trade names and brands of ORW USA INC and do not create separate contracting entities. Unless a transaction document expressly states otherwise, all online sales are made by ORW USA INC.

By accessing the Site, creating an account, submitting an order, or otherwise using the Site, you agree to these Terms and all policies incorporated by reference. If you do not agree, do not use the Site.

2. Eligibility and Accounts

You must be at least 18 years old and legally capable of entering into a binding contract to place an order. The Site is not directed to children under 13.

You are responsible for providing accurate, current, and complete information and for maintaining the confidentiality of your account credentials. You are responsible for activity occurring through your account unless prohibited by applicable law. Notify us promptly through our Contact Us page if you believe your account has been compromised.

We may refuse registration, require verification, restrict account activity, or suspend or close an account when reasonably necessary to protect customers, the Company, payment systems, or the Site.

3. Permitted Use and Prohibited Conduct

You may use the Site only for lawful personal or legitimate business purposes.

You may not:

• Violate any applicable law, regulation, court order, or third-party right.
• Use the Site for fraud, payment abuse, unauthorized resale, or deceptive activity.
• Attempt to gain unauthorized access to accounts, systems, networks, or data.
• Introduce malware, malicious code, or disruptive traffic.
• Scrape, crawl, harvest, index, or copy Site content through automated means except as expressly authorized in writing or permitted by law.
• Interfere with Site operation, security controls, rate limits, or access restrictions.
• Impersonate another person or misrepresent your identity, affiliation, vehicle, eligibility, or purchase purpose.
• Use Company trademarks, content, product data, images, or pricing feeds to create a competing service without written permission.

4. Product Information and Vehicle Fitment

We make reasonable efforts to display accurate product descriptions, specifications, compatibility data, pricing, availability, and images. Manufacturer data, supplier data, catalog information, vehicle databases, and images may contain errors or may change without notice.

Product images may depict a product family, optional accessories, a representative finish, or a configuration different from the item delivered. Colors and appearance may vary by display, lighting, production run, and manufacturer.

Modifications, prior repairs, aftermarket parts, production changes, regional specifications, and incomplete vehicle data can affect fitment. Unless required by law or stated in an applicable policy, installation labor, removal labor, towing, downtime, loss of use, and consequential costs caused by incorrect fitment are not included in a product refund.

5. Installation, Safety, and Legal Compliance

Automotive and powersports products can affect vehicle handling, braking, steering, visibility, lighting, emissions, payload, towing, safety systems, warranty coverage, and compliance with law. Products should be installed, inspected, maintained, and used in accordance with manufacturer instructions and by a qualified professional when appropriate.

You are responsible for confirming that a product and its installation are legal for the vehicle, location, roadway, trail, competition, emissions category, and intended use. Labels such as “off-road use only,” “competition use only,” or similar restrictions must be followed.

The Company does not authorize unsafe use, removal or defeat of required safety or emissions equipment, unlawful lighting, overloading, or operation contrary to manufacturer ratings or applicable law.

6. Orders and Acceptance

Your order is an offer to purchase. An order confirmation acknowledges receipt but does not necessarily constitute acceptance. We may accept an order by sending a shipment confirmation, making the product available for pickup, or otherwise confirming acceptance.

We may refuse, limit, place on hold, or cancel an order before acceptance for reasons including product unavailability, pricing or catalog errors, payment or fraud concerns, quantity limitations, legal restrictions, suspected resale or export activity, address-verification issues, or inability to fulfill the order.

If we cancel an order after payment has been captured, we will issue the appropriate refund to the original payment method, subject to payment-network processing times.

7. Pricing, Availability, and Errors

Prices, promotions, inventory, product availability, and terms may differ between the 4 Wheel Parts and Off Road Warehouse brands, between online and retail channels, and by location. Unless expressly stated, online prices do not include taxes, shipping, handling, installation, disposal, environmental, core, freight, or other applicable fees.

Despite reasonable efforts, typographical, pricing, inventory, specification, and quantity errors can occur. We reserve the right, before order acceptance and to the extent permitted by law, to correct errors, revoke offers, cancel affected orders, and refund amounts paid.

Product listings and advertised prices are invitations to submit an order and are not binding offers to sell until accepted by the Company.

8. Payment, Taxes, and Fraud Prevention

By submitting payment information, you represent that you are authorized to use the payment method and authorize the Company and its payment providers to charge the amount shown at checkout, including applicable taxes and disclosed fees.

We may perform authorization, address, identity, fraud, sanctions, and risk checks and may request additional verification. A payment authorization hold is not necessarily a completed charge, and release timing is controlled by the issuing bank.

You are responsible for taxes, duties, fees, and charges imposed on the transaction except where the Company is legally required to collect and remit them.

9. Shipping, Delivery, and Risk of Loss

Shipping and delivery dates are estimates unless expressly identified as guaranteed. Orders may ship in multiple packages or directly from manufacturers or suppliers. Freight, oversized, hazardous, restricted, made-to-order, and special-order products may be subject to additional terms and delivery requirements.

If we cannot ship within the time stated at purchase—or, when no shipping time is stated, within the period required by applicable law—we will provide any delay notice, cancellation option, consent request, or refund required by law.

You must provide a complete and deliverable address and promptly inspect delivered packages. Report visible freight damage, shortages, or delivery issues using the carrier and Company procedures stated in the applicable Shipping Policy.

Title and risk of loss pass as provided by applicable law and the shipping terms disclosed for the order. Nothing in these Terms limits rights that cannot legally be waived.

10. Returns, Refunds, and Final-Sale Items

Returns, exchanges, cancellations, restocking charges, return-shipping responsibility, refund methods, and eligibility periods are governed by the Return Policy displayed at the time of purchase.

Products may be ineligible for return when disclosed at purchase, including certain installed, used, altered, damaged, incomplete, special-order, custom, electrical, clearance, closeout, open-box, hazardous, or final-sale products, subject to applicable law.

Do not send a return to the corporate address unless the Return Policy or a return authorization specifically directs you there. Unauthorized returns may be refused or delayed.

Refunds are generally issued to the original payment method. Store credit or an e-gift card may be used only where the customer agrees or the applicable policy permits it; refunds required by law will not be replaced with store credit without lawful customer consent.

11. Product Warranties and Disclaimers

Products may be covered by a manufacturer warranty, a Company warranty, or no additional written warranty. Warranty coverage, exclusions, claim procedures, labor, shipping, and remedies are governed by the warranty supplied with the product and any applicable Warranty Policy.

Manufacturer warranties are provided by the manufacturer and may require direct claim submission. The Company does not expand a manufacturer warranty unless it expressly agrees in writing.

To the fullest extent permitted by law, and except for any express written warranty, products and services are provided without additional implied warranties. Some jurisdictions do not allow limitations on implied warranties, so these limitations may not apply to you. Nothing in these Terms excludes a warranty or remedy that cannot legally be excluded.

12. Promotions, Price Matching, and Gift Cards

Promotions, coupons, rebates, loyalty benefits, price matches, contests, giveaways, and gift cards may be subject to separate terms. Unless expressly allowed, offers may not be combined, transferred, duplicated, redeemed for cash, or applied retroactively.

Price matching

An approved price match generally requires a new, identical, in-stock product from an eligible domestic competitor, with verification of the total delivered price. Exclusions may include typographical errors, marketplaces, auctions, used, refurbished, damaged, open-box, discontinued, clearance, closeout, liquidation, membership, club, wholesale, fraudulent, or previously price-matched offers. Retail-store and online policies may differ.

Current requirements and remedies are stated in the Price Match Policy. The Company may refuse a price match where permitted by law.

Gift cards and credits

Gift cards, e-gift cards, promotional credits, and store credits are subject to the terms disclosed when issued and applicable unclaimed-property, expiration, fee, and redemption laws.

13. Reviews, User Content, and Submissions

If you submit a review, photo, video, question, comment, idea, vehicle build, or other content (“User Content”), you represent that you have the right to submit it and that it is truthful, based on genuine experience where represented as a review, and does not violate law or another person’s rights.

You must clearly disclose any material connection, incentive, employment relationship, free product, discount, or compensation related to a review or endorsement.

You grant the Company a non-exclusive, worldwide, royalty-free, transferable, sublicensable license to host, reproduce, adapt, publish, display, distribute, and use User Content in connection with the Site, products, services, advertising, and marketing, subject to applicable law and our Privacy Policy.

We may moderate or remove User Content for policy, legal, security, relevance, or quality reasons, but we do not promise to review all content. We will not condition an incentive on a positive or negative sentiment, and we prohibit fake, false, purchased, manipulated, or misleading reviews.

14. Intellectual Property

The Site and its text, graphics, logos, photographs, videos, interfaces, software, code, databases, product compilations, and other content are owned by or licensed to the Company and are protected by intellectual-property laws.

“4 Wheel Parts,” “4WP,” “Off Road Warehouse,” “ORW,” and associated names, logos, slogans, and trade dress are trademarks or trade names of the Company or its licensors. No license is granted except the limited right to use the Site under these Terms.

You may print or download reasonable portions of the Site for personal, non-commercial use, provided that copyright and proprietary notices remain intact.

Copyright complaints

Copyright or trademark complaints should be submitted through our Contact Us page with identification of the protected work, the allegedly infringing material and its URL, your contact information, and a good-faith explanation of the complaint.

15. Third-Party Services and Links

The Site may link to or integrate with manufacturers, payment providers, financing companies, installers, carriers, maps, social networks, analytics providers, or other third parties. Third-party services are governed by their own terms and privacy practices. A link or integration does not necessarily imply endorsement.

We are not responsible for third-party content, availability, security, acts, omissions, warranties, or transactions except to the extent required by law.

16. Privacy, Cookies, and Electronic Communications

Our Privacy Policy describes how we collect, use, disclose, retain, and protect personal information and how consumers may exercise applicable privacy rights. The Privacy Policy is incorporated by reference but is not replaced by these Terms.

Where required, the Site will provide a notice at collection, cookie choices, and methods to exercise privacy rights. Applicable opt-out preference signals, including Global Privacy Control where legally required, will be processed as described in the Privacy Policy.

By using the Site or providing contact information, you consent to receive transaction, account, security, service, and order communications electronically. Marketing email and text messages are governed by the consent and opt-out terms presented at signup.

17. Mobile Terms and Conditions

ORW USA INC, through the 4 Wheel Parts and Off Road Warehouse brands, may offer recurring text-message programs for promotions, events, product announcements, cart reminders, back-in-stock alerts, price-drop alerts, low-inventory alerts, account messages, and related communications. The short code or sending number will be disclosed at opt-in and may include 21208.

By opting into a mobile program, you:

1. Authorize recurring automated or non-automated text messages to the number associated with your opt-in.
2. Acknowledge that consent is not a condition of purchase.
3. Confirm that you are the subscriber or customary user of the number and are authorized to opt in.
4. Consent to electronic records documenting your opt-in and program activity.

Message frequency varies. Message and data rates may apply. Carriers are not liable for delayed or undelivered messages. Program availability and supported carriers may change.

Reply STOP to cancel and HELP for assistance. You may receive one final confirmation message after opting out. Opt-out requests will be honored for the program and sending number to which the request applies, as required by law.

19. Site Disclaimer

To the fullest extent permitted by law, the Site and its content are provided on an “as is” and “as available” basis. We do not guarantee that the Site will be uninterrupted, error-free, secure, current, or free of harmful components, or that all defects will be corrected.

We disclaim warranties regarding Site availability, accuracy, merchantability, fitness for a particular purpose, title, and noninfringement to the extent such warranties may lawfully be disclaimed. This section does not alter any express product warranty or non-waivable consumer right.

20. Limitation of Liability

To the fullest extent permitted by law, ORW USA INC and its affiliates, officers, directors, employees, agents, licensors, suppliers, and service providers will not be liable for indirect, incidental, special, exemplary, punitive, or consequential damages, including lost profits, lost data, business interruption, loss of use, or replacement transportation, arising from or related to the Site, even if advised that such damages were possible.

To the fullest extent permitted by law, the aggregate liability arising from Site use will not exceed the greater of the amount you paid to the Company for the product or service giving rise to the claim during the twelve months before the claim, or one hundred U.S. dollars ($100), excluding liabilities that cannot lawfully be limited.

Some jurisdictions do not permit certain exclusions or limitations, so some of the foregoing may not apply to you.

21. Indemnification

To the extent permitted by law, you agree to defend, indemnify, and hold harmless ORW USA INC and its affiliates, officers, directors, employees, agents, licensors, suppliers, and service providers from third-party claims, damages, liabilities, judgments, costs, and reasonable attorneys’ fees arising from your unlawful use of the Site, violation of these Terms, infringement of another person’s rights, or User Content you submit.

This obligation does not apply to the extent a claim results from the Company’s own negligence, willful misconduct, or violation of law.

22. Suspension and Termination

We may suspend or terminate access to the Site or an account when reasonably necessary for security, fraud prevention, legal compliance, policy enforcement, Site protection, or business operations. You may stop using the Site at any time.

Provisions that by their nature should survive termination—including ownership, payment obligations, disclaimers, limitations of liability, indemnification, disputes, and general provisions—will survive.

23. Governing Law and Disputes

These Terms are governed by the laws of the State of California, without regard to conflict-of-law principles, except where another jurisdiction’s law applies and cannot be waived.

Before filing a formal claim, you and the Company agree to make a good-faith effort to resolve the dispute informally by providing written notice describing the issue and requested resolution.

To the extent permitted by law, legal proceedings concerning these Terms or the Site must be brought in a state or federal court located in Los Angeles County, California. This forum selection does not limit rights or venues that applicable consumer law makes non-waivable.

No arbitration or class-action waiver is included in these Terms. Any future arbitration provision must be separately reviewed, approved, and implemented with legally sufficient notice and assent.

24. General Provisions

Changes to these Terms

We may update these Terms from time to time. The revised Terms will be posted with an updated date. Material changes will apply prospectively and will be communicated as required by law.

Policies and order-specific terms

The Privacy Policy, Shipping Policy, Return Policy, Warranty Policy, Price Match Policy, promotion terms, product disclosures, and checkout terms are incorporated by reference. If an order-specific term conflicts with these Terms, the more specific order term controls for that transaction, unless prohibited by law.

Force majeure

The Company is not responsible for delay or failure caused by events beyond its reasonable control, including natural disasters, severe weather, labor disruptions, carrier failures, supplier shortages, cyber incidents, utility outages, governmental actions, epidemics, war, or civil unrest, except that this provision does not eliminate refund, cancellation, notice, or other duties imposed by applicable law.

Severability; waiver; assignment

If a provision is held unenforceable, it will be modified to the minimum extent necessary or severed, and the remaining provisions will remain effective. A failure to enforce a provision is not a waiver. You may not assign these Terms without our written consent. We may assign them in connection with a merger, acquisition, reorganization, asset transfer, or by operation of law.

Entire agreement

These Terms and the incorporated policies constitute the entire agreement regarding the Site and supersede prior Site terms on the same subject. They do not replace a separately signed installation, service, commercial-credit, fleet, wholesale, vendor, or other written agreement.

Headings and electronic records

Headings are for convenience only. Electronic records and signatures may be used to the extent permitted by law.
